These Terms of Use ("Terms") govern the access to and use of the Hotel Restaurante platform (https://www.hotelrestaurante.com.br) by users, tourists, visitors and guests ("User", "you"). The platform is operated by Sobieski Produções e Desenvolvimento em TI Ltda., registered under CNPJ no. 43.810.141/0001-82 ("Hotel Restaurante", "we" or "platform"). By creating an account, accessing or using any feature of the platform, you declare that you have read, understood and fully accept these Terms. If you do not agree, do not use the platform.

1. Acceptance and definitions

These Terms constitute a binding agreement between you and Hotel Restaurante. Merely browsing, registering or using any feature implies full and unreserved acceptance of the conditions set out herein, as well as of the Privacy Policy, which forms an integral part of these Terms for all purposes.

For the purposes of these Terms, the following definitions apply:

  • Platform: the website, applications and digital services of Hotel Restaurante, which operate as a marketplace of tourism classified listings.
  • User: the natural person who registers on or uses the platform as a tourist, visitor or guest.
  • Establishment: the advertiser (hotel, guesthouse, restaurant, bar, park, event organiser, attraction or similar) that maintains a profile and offers services on the platform.
  • User Content: any information, photo, text, review, comment, story or message published by you.
  • Booking/Scheduling: the request for or contracting of services directly with the Establishment, technologically intermediated by the platform.

2. Registration and account

To use certain features, you must create an account by providing true, accurate, current and complete information. You are solely responsible for the accuracy of the data provided and undertake to keep it up to date.

Registration is intended for persons with full legal capacity. Persons under the age of 18 may only use the platform with the assistance or representation of their legal guardians, who shall assume full responsibility for the acts performed.

2.1 Responsibility for the password

You are solely responsible for the safekeeping, confidentiality and use of your access credentials (login and password). Any activity carried out through your account is presumed to have been performed by you. 3. Permitted use and rules of conduct

The platform must be used in a lawful and ethical manner and in accordance with these Terms and applicable law. When using the social and interactive features, you agree to behave in a respectful and responsible manner.

3.1 Social match, friends, chat and stories

The platform offers social features, including a match system (affinity-based connection suggestions), a friends list, chat between users and the publication of stories. These features are intended for legitimate social interaction between travellers. It is prohibited to use them for harassment, hate speech, sexually explicit content, exploitation of minors, scams, the unauthorised disclosure of third-party data or any unlawful purpose.

3.2 Reviews and comments

You may publish reviews and comments about Establishments based on genuine experiences. Reviews must be truthful, made in good faith and free from defamation, slander or insult. The publication of false reviews, reviews improperly paid for, mass reviews or reviews intended to manipulate the reputation of any Establishment or competitor is prohibited.

4. Role of the platform (intermediary)

Hotel Restaurante is an intermediary platform for tourism classified listings. Its function is to connect Users to Establishments, providing tools for searching, displaying profiles, communication, scheduling and payment. The platform is not a party to the relationships, contracts, bookings or transactions entered into between User and Establishment.

Hotel Restaurante does not sell its own rooms, meals, products or services, does not provide accommodation, catering, transport, leisure or tourism services, and does not own, control or operate the advertised Establishments. The profile information (photos, menus, rooms, products, prices, availability and conditions) is provided by and is the sole responsibility of the respective Establishments.

Consequently, the platform is not liable for the quality, safety, legality, accuracy, availability, performance or fulfilment of the services provided by the Establishments, nor for any damage, loss, cancellation, delay or breach of contract arising from that direct relationship.

5. Bookings and direct relationship with the establishment

When making a booking or scheduling through the platform, you enter into a contract directly with the Establishment. The booking conditions, cancellation policy, refunds, prices, fees, schedules, accommodation or consumption rules and other terms are defined and managed exclusively by the Establishment.

Payments are processed through MercadoPago, a third-party payment gateway, subject to that provider's own terms and policies. Hotel Restaurante merely enables the transaction technically and does not hold, custody or administer the amounts relating to the services contracted with the Establishments.

Any complaints, refund requests, disputes over services, charges or cancellations must be dealt with directly with the responsible Establishment. The platform may, at its sole discretion and without any obligation, offer mediation or support channels, without this implying any assumption of responsibility for the consumer relationship.

6. User-generated content and licence

You are solely responsible for the User Content you publish, including photos, texts, reviews, comments, stories and messages. You represent and warrant that you hold all the necessary rights over such content and that it does not infringe third-party rights, legal provisions or these Terms.

By publishing User Content, you grant Hotel Restaurante a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, reproduce, store, adapt, display, publish, distribute and disclose such content, within the scope of the operation, promotion and functioning of the platform and its associated channels. This licence remains in force for as long as the content stays published and for a reasonable period after its removal, for the purposes of backup, record-keeping and compliance with legal obligations.

Hotel Restaurante does not claim ownership of your content, which remains yours. However, it reserves the right to remove, hide or refuse any content that infringes these Terms, the law or third-party rights.

7. Prohibited conduct and moderation

The User is expressly prohibited, by way of example and without limitation, from:

  1. Publishing unlawful, defamatory, offensive, discriminatory, violent, fraudulent or obscene content, or content that infringes third-party rights;
  2. Engaging in harassment, threats, stalking or abuse against other Users or Establishments;
  3. Using the platform for spam, unauthorised advertising, improper data collection or solicitation;
  4. Creating fake accounts, multiple accounts for fraudulent purposes or impersonating third parties;
  5. Using bots, scrapers, crawlers or other unauthorised automated means to collect data or interfere with the operation of the platform;
  6. Attempting to circumvent security mechanisms, carry out reverse engineering or exploit vulnerabilities;
  7. Publishing false reviews or manipulating the reputation of Establishments.

Hotel Restaurante may moderate, review, edit, hide or remove content and adopt appropriate measures, at its sole discretion, whenever it identifies a breach of these Terms, acting either upon a report or on its own initiative.

8. Intellectual property

All intellectual property rights relating to the platform — including the trade mark, name, logo, layout, source code, design, databases, texts, features and other elements — belong to Sobieski Produções e Desenvolvimento em TI Ltda. or to its licensors, and are protected by applicable law.

It is prohibited to copy, reproduce, distribute, modify, create derivative works of, commercially exploit or use any element of the platform without prior and express authorisation. Use of the platform does not transfer any intellectual property right to the User, except for the limited licence to use the available features for personal and non-commercial purposes.

9. Account suspension and termination

You may terminate your account at any time using the tools available on the platform or by requesting cancellation via the contact e-mail.

Hotel Restaurante may, at its sole discretion and without prior notice, suspend, restrict or terminate the access of any User who breaches these Terms, engages in prohibited conduct, infringes the law or poses a risk to the platform, to other Users or to Establishments. Termination does not release the User from responsibilities assumed before the termination. Data may be retained for the legally required period, as set out in the Privacy Policy.

10. Limitation of liability

To the fullest extent permitted by law, Hotel Restaurante is not liable for:

  • The acts, omissions, services, products, quality, safety or conduct of the Establishments and of other Users;
  • Direct or indirect damage arising from bookings, transactions, scheduling or relationships established between User and Establishment;
  • Content generated by third parties, reviews, messages or profile information;
  • Temporary unavailability, technical failures, interruptions, errors, viruses or force majeure events beyond its reasonable control;
  • Social interactions, meetings or connections arising from the match, chat or friends features, it being the User's responsibility to act with prudence and safety.

The platform is provided "as is", without warranties of fitness for a particular purpose. Nothing in these Terms excludes liabilities that cannot be limited by law, in particular under applicable consumer protection rules.

11. Data protection

The processing of personal data complies with Law no. 13,709/2018 (LGPD) and is described in detail in the platform's Privacy Policy, which forms an integral part of these Terms. Continued use of the platform after the publication of the amendments constitutes acceptance of the new conditions. We recommend reviewing this document periodically.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. The courts of the Judicial District of São Paulo/SP are hereby elected to settle any disputes arising from these Terms, with waiver of any other, however privileged, save for the consumer's right to bring proceedings in the courts of their own domicile, where applicable.

These Terms of Use for Establishments (hereinafter the "Terms") govern the relationship between the Hotel Restaurante platform (https://www.hotelrestaurante.com.br), operated by Sobieski Produções e Desenvolvimento em TI Ltda., registered under CNPJ No. 43.810.141/0001-82 (hereinafter the "Platform", "we" or "Hotel Restaurante"), and any legal entity or individual entrepreneur who registers to advertise, promote or commercialise their services through the Platform (hereinafter the "Establishment", "Advertiser" or "you"). Reading this document in full and with due care is an essential condition for using the services intended for businesses.

1. Acceptance and definitions

By completing registration, activating an establishment profile, subscribing to plans, publishing advertisements or otherwise using the business features of the Platform, you declare that you have read, understood and fully accept these Terms, as well as the Privacy Policy and other applicable policies. If you do not agree with any provision, you must not use the services for establishments.

For the purposes of these Terms, the following definitions apply:

  • Platform: the set of websites, applications, systems and services offered under the Hotel Restaurante brand.
  • Establishment: a hotel, guesthouse, restaurant, bar, park, event organiser, tourist attraction or other business that uses the Platform to promote its services.
  • User or Visitor: a tourist, consumer or individual who uses the Platform to search for, contact, book or review establishments.
  • Advertisement or Listing: each listing, profile, offer, menu, room, product or content published by the Establishment.
  • Establishment Content: texts, images, photos, videos, logos, prices, descriptions and other materials uploaded by the Advertiser.

2. Eligibility and company registration

Registration as an Establishment is intended exclusively for duly constituted legal entities or properly registered individual entrepreneurs. By registering, you declare and warrant that:

  1. You have the legal capacity and sufficient powers of representation to bind the company to these Terms;
  2. The information provided, including the company name, trading name, CNPJ, address, telephone numbers, email and legal representative, is true, accurate, complete and up to date;
  3. You keep your registration status in good standing with the competent authorities and hold the licences, permits and authorisations required to carry out your activity;
  4. You are solely responsible for safeguarding and keeping confidential your access credentials, being liable for all actions taken on your account.

The Platform may, at any time, request supporting documents and suspend or refuse registrations showing signs of irregularity, fraud or false information. Inaccurate CNPJ or registration data authorises the immediate suspension of the profile.

3. Role of the Platform

Hotel Restaurante is a tourism classifieds platform and technological intermediary that connects Users and Establishments. The Platform is not a party, supplier, service provider, seller, hotelier or restaurant in the bookings, appointments, accommodation, meals or any transactions entered into between Users and Establishments.

Owing to its intermediary nature, the Platform:

  • Does not sell its own rooms, meals, tickets or products;
  • Does not hold the stock, availability, price control or service conditions of the Establishments;
  • Does not guarantee the conclusion, confirmation or fulfilment of any booking or order;
  • Is limited to providing tools for promotion, search, contact, social networking, matching, chat, stories, CRM, campaigns and payment processing through third parties.

The consumer relationship, where it exists, is established directly between the User and the Establishment, with the latter being fully responsible for fulfilling the obligations it has undertaken.

4. Obligations of the Establishment

The Establishment undertakes to:

  1. Keep advertisements truthful, up to date and not misleading, including descriptions, photos, amenities, menus, rooms and products;
  2. Disclose correct, complete and current prices, with a clear indication of taxes, fees and any conditions;
  3. Keep its availability and calendar up to date, honouring accepted bookings and appointments;
  4. Provide appropriate, courteous and timely service to Users, responding to contacts, leads and messages;
  5. Fully comply with the applicable legislation, including consumer protection, health, tax, labour, environmental and tourism/hospitality rules;
  6. Issue the required tax documents and be responsible for all taxes levied on its operations;
  7. Not transfer to third parties the risks and responsibilities inherent to its activity.

The Establishment is solely and exclusively responsible for the quality, safety, legality and truthfulness of the services and products offered, releasing the Platform from any resulting liability.

5. Advertisements, paid plans and featured placements

The Platform offers free and paid plans, as well as features for featured placement, positioning and advertising. The characteristics, limits and prices of each plan are disclosed at the time of subscription and may be revised upon prior notice.

  • Subscribing to paid plans and featured placements does not guarantee a specific volume of visits, leads, bookings, sales or commercial results;
  • Positioning in search results may take into account relevance, the quality of the advertisement, reviews, the subscribed plan and other technical criteria;
  • Advertising content must comply with the legislation and may not be misleading, abusive or offensive;
  • The Platform may, at its discretion, refuse, moderate or remove advertisements and materials that breach these Terms or the law.

6. Bookings and cancellations

The booking and appointment features are intermediation tools. The confirmation, performance, rescheduling, no-show and cancellation of bookings are governed by the specific policies of each Establishment, which must be clearly communicated to the User.

It is the sole responsibility of the Establishment to:

  • Define and disclose its booking, cancellation, refund and penalty rules;
  • Honour confirmed bookings and manage its availability;
  • Resolve directly with the User any disputes, complaints or refund requests.

The Platform is not liable for overbooking, unavailability, failure to honour bookings or discrepancies between what was advertised and what was actually provided.

7. Commissions and payments via MercadoPago

Payments for plans, featured placements and, where applicable, for intermediated transactions, are processed through MercadoPago, a third-party payment gateway, subject to its own terms and fees. By using this feature, the Establishment agrees to the provider's conditions.

  • Any applicable commissions, service charges or fees will be disclosed in advance and may be deducted from the amounts transferred;
  • Settlement deadlines, transfers, refunds and chargebacks follow the rules of MercadoPago and of the payment arrangements;
  • The Establishment is responsible for keeping its banking and tax details correct in order to receive payments;
  • The Platform is not responsible for failures, delays, blocks or unavailability attributable to the payment gateway or to financial institutions.

8. Establishment Content and licence of use

The Establishment retains ownership of the Content it publishes. However, by uploading it to the Platform, it grants Hotel Restaurante a worldwide, non-exclusive, royalty-free, sublicensable licence for the term of legal protection, to host, store, reproduce, adapt (including resizing and technical optimisation), translate, publish and display such Content on the Platform's channels and in promotional materials, for the purpose of operating and promoting the services.

The Establishment declares and warrants that it holds all rights over the Content, including over images, trademarks, photos and texts, and that its publication does not infringe the rights of third parties. The Establishment releases the Platform from any claim relating to the ownership or use of the Content it provides.

9. Intellectual property

The Hotel Restaurante brand, the software, the source code, the design, the interfaces, the databases, the search and matching algorithms and all elements of the Platform are the exclusive property of Sobieski Produções e Desenvolvimento em TI Ltda. or of its licensors, protected by intellectual property legislation.

The Establishment is prohibited, without express written authorisation, from: copying, reproducing, modifying, decompiling, reverse engineering, commercially exploiting, performing mass data extraction (scraping) or creating derivative works from the Platform. The content licence granted by the Establishment does not transfer to it any right over the Platform's intellectual property.

10. Prohibited conduct

The Establishment is expressly prohibited from:

  • Publishing false, misleading, offensive, discriminatory or illegal information;
  • Advertising prohibited services or products, those without a licence or those that infringe the rights of third parties;
  • Manipulating reviews, creating fake profiles or artificially inflating reputation, leads or metrics;
  • Engaging in unfair competition, spam, harassment or abusive approaches to Users;
  • Using the Platform for purposes other than the legitimate promotion of its activity;
  • Attempting to circumvent security, billing or moderation mechanisms or the payment gateway's controls;
  • Collecting or processing User data in breach of data protection legislation.

11. Suspension and termination

The Platform may, at its sole discretion and without prejudice to other measures, warn, moderate content, suspend or terminate the registration and advertisements of any Establishment that breaches these Terms, the applicable legislation or that poses a risk to Users, to third parties or to the Platform itself.

The Establishment may request the closure of its account at any time. Termination, for any reason, does not release the parties from the obligations undertaken up to the date of termination, including amounts due. Certain data may be retained for the period required by law or for the regular exercise of rights.

12. Limitation of liability and disclaimers

To the fullest extent permitted by law, Hotel Restaurante is not liable for:

  • Acts, omissions, quality, safety, legality or truthfulness of the services, products and information of the Establishments;
  • Negotiations, bookings, transactions, disputes or damages occurring directly between Users and Establishments;
  • Commercial results, loss of profits, expected revenue or volume of leads, bookings or sales;
  • Temporary unavailability, technical failures, internet interruptions or force majeure events;
  • The conduct of third parties, including payment providers and other partners.

The Platform provides its services "as is", endeavouring to keep them available and secure, but without, however, guaranteeing uninterrupted or error-free operation. Any liability of the Platform is limited to the amounts actually paid by the Establishment in the twelve months preceding the event giving rise to the claim.

13. Data protection

The processing of personal data complies with the General Data Protection Law (Law No. 13.709/2018 - LGPD) and the Platform's Privacy Policy, which forms part of these Terms. When processing User data obtained through the Platform (leads, campaigns, mailings), the Establishment acts as an autonomous controller or as a joint controller, as the case may be, and must have an appropriate legal basis and respect the rights of data subjects.

14. Amendments to the Terms

The Platform may update these Terms at any time, to reflect legal, technical or business changes. Continued use of the services after they take effect implies agreement with the new version. Periodic review of this document is recommended.

15. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. This Privacy Policy describes how the Hotel Restaurante platform collects, uses, stores, shares and protects the personal data of its users, in compliance with Law No. 13,709/2018 (the Brazilian General Data Protection Law — LGPD), the Brazilian Civil Rights Framework for the Internet (Law No. 12,965/2014) and other applicable regulations. 1. Who we are and who controls your data

Hotel Restaurante (https://www.hotelrestaurante.com.br) is a tourism classifieds platform that acts as an intermediary, connecting tourists and visitors with establishments such as hotels, guesthouses, restaurants, bars, parks, events and attractions.

The controller of the personal data, under the terms of Article 5, VI, of the LGPD, is the company Sobieski Produções e Desenvolvimento em TI Ltda., registered under CNPJ No. 43.810.141/0001-82, responsible for the decisions concerning the processing of personal data collected through the platform.

We reiterate that the platform is not a party to the transactions, bookings or appointments entered into between users and establishments, does not sell rooms, meals or its own products, and acts exclusively as a means of bringing parties together and publicising listings.

2. Data we collect

We collect different categories of personal data, depending on your interaction with the platform:

2.1. Registration data

  • Full name, username and nickname;
  • Email address and telephone number;
  • Access password (stored in encrypted form);
  • Date of birth and gender, where provided;
  • Establishment identification data (company name, CNPJ, legal representative), where applicable.

2.2. Profile data and user-generated content

  • Profile photo, biography, preferences and interests;
  • Reviews, comments, photos, stories and published messages;
  • Social interactions (friendships, matches, chat conversations);
  • Menus, rooms, products and other information registered by establishments.

2.3. Usage and browsing data

  • Search history, pages visited and establishments viewed;
  • Clicks, dwell time and interaction patterns;
  • Access records (logs), including date, time and IP address, as required by the Brazilian Civil Rights Framework for the Internet.

2.4. Device data

  • Device type, operating system and version;
  • Device, browser and language identifiers;
  • IP address and connection data.

2.5. Location data

With your authorisation, we collect geolocation data (precise or approximate) to display nearby establishments, suggest relevant results and enable proximity-based features. You can disable location services in your device settings at any time.

2.6. Payment data

Payments for paid plans, listings and other services are processed by MercadoPago. The platform does not store complete credit card data. We receive only the information necessary to confirm and manage the transaction (status, payment identifier and billing data), with the processing of financial data also being governed by MercadoPago's privacy policy.

3. How and why we use your data (purposes and legal bases)

4. Data sharing

We do not sell your personal data. Sharing occurs only in the following circumstances:

  • Establishments: when you make a booking, appointment, review or contact, the necessary data (such as your name and contact information) is shared with the establishment in order to enable the service. The establishment acts as an independent controller of the data it receives.
  • Payment processors: we share transaction data with MercadoPago to process payments.
  • Service providers: hosting, cloud infrastructure, email delivery, analytics and support companies, which process the data on our behalf and under our instructions, in their capacity as processors.
  • Public and judicial authorities: where there is a legal request, court order or for the regular exercise of rights.
  • Corporate operations: in the event of a merger, acquisition or reorganisation, subject to compliance with this Policy.

We use cookies to ensure the platform functions, remember preferences, maintain authenticated sessions, measure audience and personalise content and advertising. We use the following categories:

  • Essential cookies: necessary for basic functioning and security (cannot be disabled);
  • Performance and analytics cookies: help us understand how the platform is used;
  • Functionality cookies: store language and personalisation preferences;
  • Advertising cookies: assist in displaying relevant advertising.

6. Rights of the data subject

Under the terms of Article 18 of the LGPD, you, as the data subject, have the right to:

  4. Anonymise, block or delete data that is unnecessary, excessive or processed in breach of the law;
  5. Request the portability of your data to another service provider;
  6. Delete data processed on the basis of consent, except in cases of legal retention;
  7. Obtain information about the entities with which we share your data;
  8. Be informed about the possibility of not providing consent and the consequences thereof;
  9. Withdraw your consent at any time;
  10. Object to processing carried out on the basis of other legal grounds, in the event of non-compliance with the LGPD.

7. Information security

We adopt appropriate technical and administrative measures to protect your data against unauthorised access, loss, alteration, destruction or any form of improper or unlawful processing. The measures adopted include password encryption, access control, monitoring, log keeping and the use of secure connections (HTTPS). Despite our efforts, no system is entirely immune to failures; in the event of a security incident that may cause significant risk or harm to data subjects, we will notify those affected and the National Data Protection Authority (ANPD), as required by the LGPD.

8. Data retention and deletion

We retain your personal data only for as long as necessary to fulfil the purposes for which it was collected, subject to the applicable legal and regulatory time limits. Application access records are retained for a minimum period of 6 (six) months, in accordance with Article 15 of the Brazilian Civil Rights Framework for the Internet. After the account is closed or the purposes have been fulfilled, the data will be deleted or anonymised, except for the retention necessary for compliance with a legal obligation, the regular exercise of rights in proceedings or in the other circumstances provided for in Article 16 of the LGPD.

9. International data transfers

Some of our service and infrastructure providers may be located in, or may process data outside, Brazil. In such cases, we adopt the safeguards provided for in Chapter V of the LGPD to ensure an adequate level of protection, including specific contractual clauses and verification that the recipient country or international organisation offers a level of protection compatible with Brazilian legislation.

10. Minors

The platform is not intended for persons under the age of 18. We do not knowingly collect data from minors without the specific and prominent consent of at least one parent or legal guardian, in accordance with Article 14 of the LGPD. Should we identify the registration of a minor without proper authorisation, we will take steps to delete the account and the corresponding data.

12. Changes to this Policy

This Privacy Policy may be updated periodically to reflect legal, technical or operational changes. The current version will always be available on this page, indicating the date of the last update. Significant changes will be communicated through the appropriate channels. Continued use of the platform after the changes are published constitutes acceptance of the updated version.

13. Governing law and jurisdiction

This Policy is governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of São Paulo/SP are elected to settle any disputes arising from this Policy, with waiver of any other, however privileged, except for specific legal jurisdiction that guarantees the consumer the courts of their domicile.
